Website Design & Hosting Engagement Letter

This letter sets out the terms under which Talon Automation (“Talon,” “we,” “us”) will design, deliver, and host a custom website for you. By signing below (or completing the electronic signature step on talonai.ai), you agree to these terms.

1. Scope of work

Talon will provide:

1. Custom website build — a mobile-first website for your business, based on the information you submit (current website, social links, written notes about what you want to see, and any visitor form you upload during onboarding).
2. Optional visitor form — if you upload a form during onboarding, tell us what to call it, and provide an email address, Talon will include that form (or a web equivalent) on your site and email each submission to the address you designate (every time a visitor submits). Talon does not provide a separate client portal or submission archive for viewing those submissions.
3. Staging preview — a private preview link for your review before go-live.
4. Go-live — publish the approved site to your domain (or a Talon-provided temporary domain until your domain is pointed).
5. Hosting & small updates — ongoing hosting plus reasonable small content changes (examples: phone number, hours, photos, adding a service line). Major redesigns, new page templates, or new features are out of scope unless quoted separately.

Not included unless separately agreed in writing: custom app development, paid ads management, ongoing social media posting, copywriting beyond what’s needed for the initial build, photography/video production, trademark/legal review of your content, guaranteed search rankings, or live support during hosting cancellation / site handoff.

2. Fees and payment

• Setup fee is non-refundable once work has started (including research of your existing site/socials and first draft build), except where required by law.
• Monthly hosting is billed automatically to the payment method you provide.
• Prices are in U.S. dollars. You are responsible for any applicable taxes.

3. Failed payments and site suspension

If a monthly hosting payment fails, Talon will retry according to our processor’s normal retry schedule. After three (3) failed monthly hosting payment attempts, Talon may turn off / suspend your website (including removing it from public view) until the past-due balance is paid in full and a valid payment method is on file.

When a site is suspended for non-payment, Talon may still run the same automated export process described in Section 8 (files emailed to your on-file address) so you are not left without a copy — but the public site stays off until payment is current or you complete discontinue hosting.

Talon is not responsible for lost leads, calls, or revenue while the site is suspended for non-payment.

4. Your responsibilities

You agree to:

• Provide accurate business information, logos, photos, and copy you have the right to use.
• If you want a visitor form on the site, upload the form file during onboarding, tell Talon what to call it, and provide the email address that should receive submissions. Every submission is emailed to that address; Talon does not provide a client portal or submission archive for you to log into.
• Provide access needed for go-live (domain DNS, hosting credentials if applicable, or timely approval for Talon to make DNS changes).
• Review the staging preview and respond within a reasonable time (target: within 5 business days of each review request).
• Keep a valid payment method on file for the monthly fee.
• Keep your email address on file current (handoff files are sent there automatically).

Delays on your side (missing content, slow approvals, DNS access) may extend delivery timelines.

5. Timeline

Target: first staging preview within a commercially reasonable period after intake, payment, and receipt of usable content (often measured in business days, not weeks — exact timing depends on how complete your materials are). Final go-live follows your written approval of the staging preview (email or in-app approval is enough).

6. Revisions

The setup fee includes reasonable revisions during the staging period to align the site with what you described in the intake form. Repeated redesigns, scope expansion, or “start over” requests may require a new quote before more work continues.

7. Ownership and license

• Your content (logos, photos, text, and form files you provide) remains yours. You grant Talon a license to use it to build and host the site.
• Upon full payment of the setup fee, you own the final website content as published for your business. Talon retains ownership of underlying tools, templates, code libraries, and know-how used to deliver the work, and grants you a license to use the delivered site for your business while hosting is active.
• When hosting ends under Section 8, you receive an automated static-file export of the then-current site as described there. That export is how ownership of the published site content is delivered for self-hosting elsewhere.

8. Discontinue hosting and automated handoff (no live support)

You may discontinue monthly hosting anytime using the Discontinue hosting button/form on talonai.ai (or an equivalent client link Talon provides).

When you submit discontinue hosting:

1. Talon cancels further monthly hosting charges (end of the then-current paid period, unless the form states otherwise).
2. An automated process exports a static copy of your then-current website files.
3. Talon generates a short one-pager with basic self-host instructions (upload the files to a host of your choice and point your domain).
4. Talon emails the export zip + one-pager to the email address on file.
5. After the paid period ends (or immediately if you are already past due / suspended, as applicable), Talon turns the hosted site off.

Important:

• This handoff is fully automated. Talon does not provide live hand-holding, screen shares, phone support, or custom migration into a third-party host as part of discontinue hosting.
• You are responsible for uploading the files to your new host and updating DNS.
• Setup fee remains earned as described in Section 2.
• Talon may delete hosted copies and project files after the export is sent and the site is offline, subject to any short retention window Talon keeps for abuse/fraud review.
• Visitor form submissions were emailed to your designated address at the time of each submit. Discontinue hosting does not include a submission archive — Talon does not keep one for you.

If you do not discontinue via the form and simply stop paying, Section 3 applies; Talon may still email an export when the site is turned off for non-payment, using the email on file.

9. Disclaimer and limitation of liability

Websites and hosting are provided on a commercially reasonable efforts basis. Talon does not guarantee uninterrupted uptime, search engine rankings, lead volume, or specific revenue outcomes.

To the maximum extent allowed by law, Talon’s total liability under this engagement is limited to the fees you paid to Talon in the three (3) months before the claim. Talon is not liable for indirect, incidental, or consequential damages (including lost profits or lost business), including any issues that arise after you self-host an exported site.

10. Governing law

This agreement is governed by the laws of the State of Florida, without regard to conflict-of-law rules. Venue for disputes is in courts located in Okaloosa County, Florida, unless the parties agree otherwise in writing.

11. Entire agreement

This letter (plus any written change orders you and Talon both accept) is the entire agreement for this website project and replaces prior oral discussions about it. If any part is held unenforceable, the rest remains in effect.

Acceptance

By signing below, you confirm you are authorized to bind the Client, you have read this engagement letter, and you agree to the fees and terms above.
